1. Purpose
These General Terms and Conditions of Sale (GTC) govern the sales of chocolate bars by Meurisse (hereinafter “the Seller”) to any professional buyer established in France (hereinafter “the Buyer”). Any order implies the Buyer’s full and complete acceptance of these GTC.
2. Products
The essential characteristics of the Products are described in the catalogues and commercial documents. The photos and descriptions are provided for information purposes only and have no contractual value.
3. Orders
Orders must be confirmed in writing. Meurisse reserves the right to refuse an order in the event of stock shortages, payment incidents, or non-compliance with previously agreed conditions.
4. Prices
Prices are expressed in euros, excluding VAT and transport costs. For French clients with a valid intra-community VAT number, invoicing is carried out without VAT in accordance with European Directive 2006/112/EC.
5. Payment terms
Unless otherwise stipulated, invoices are payable within 30 days net from the date of issue. Any delay will result in statutory interest and a fixed penalty of 10% of the unpaid amount excluding VAT, with a minimum of €40.
6. Delivery
Delivery costs are borne by the Buyer, unless the total order amount reaches €350 excluding VAT, in which case delivery is free. Deliveries are made within an estimated period of one week from order confirmation. This timeframe is indicative and may vary depending on logistical constraints and carriers (e.g., UPS). Risk is transferred upon handover of the Products to the carrier.
Delivery is made to the address provided by the Client when placing the order.
The Seller cannot be held responsible in the event of an error in the address provided.
7. Complaints and returns
Any complaint concerning the Products must be submitted in writing within 48 hours of receipt. No return will be accepted without the prior agreement of the Seller.
8. Retention of title
Meurisse retains ownership of the Products until full payment of the invoice. In case of non-payment, the Seller may reclaim the Products.
9. Warranties
The Products comply with European and Belgian food legislation. The warranty covers only the quality of the Products up to their minimum durability date (MDD).
10. Force majeure
Meurisse cannot be held liable in cases of force majeure, including strikes, fires, natural disasters, health crises, or supply shortages.
11. Personal data
The data collected as part of orders is processed in accordance with the GDPR and used solely for business management purposes.
12. Applicable law and jurisdiction
These GTC are governed by Belgian law. Any dispute shall fall under the exclusive jurisdiction of the courts where the Seller’s registered office is located.
13. Acceptance
By placing an order, the Buyer acknowledges having read and accepted these GTC without reservation.
